Terms of Service

These Terms are a binding agreement between you (and the organization you represent) and SecureGov.ca (“SecureGov”, “we”, “us”). By accessing the SecureGov website or dashboard at https://securegov.ca or its subdomains, including the dashboard address provided to your organization (together, the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

SecureGov is a read-only dashboard that connects to your Microsoft 365 environment (“tenant”) through an application registration that you create, using read-only permissions, to present an informational summary of your security posture. The Service authenticates directly with Microsoft, does not modify your tenant, and does not store personal data from your tenant on our systems (see our Privacy Policy). The Service is provided for informational purposes only.

2. Informational only — not advice or a guarantee

All scores, verdicts, readiness indicators, framework mappings and recommendations produced by the Service are indicative and informational only. They are not a guarantee that your environment is secure or compliant, are not a certification, and do not constitute legal, accounting, insurance, or professional security advice. You are solely responsible for your own security and compliance decisions and for independently verifying any finding before relying on it. 3. Eligibility and authority

The Service is intended for business use by organizations. By connecting a tenant or accepting these Terms, you represent and warrant that you are authorized to grant read-only access to that tenant and to bind the relevant organization to these Terms.

4. Your responsibilities

You are solely responsible for: (a) creating and maintaining the application registration and access grant; (b) the configuration, operation and security of your own Microsoft 365 environment; (c) deciding whether and how to act on any finding; and (d) revoking the Service’s access at any time through your own Microsoft settings. You agree to use the Service only for lawful purposes and only on tenants you are authorized to assess.

5. Read-only access

The Service operates with read-only permissions. It cannot and does not change, delete, or create settings, files, mail, or data in your tenant. You control the access grant and may withdraw it at any time.

6. No warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, whether express, implied, or statutory, including any implied warranty of merchantability, quality, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any finding is accurate, complete, or current.

7. Limitation of liability

To the fullest extent permitted by applicable law, SecureGov.ca and its representatives will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, or for any security incident, data breach, regulatory or audit outcome, or insurance decision, arising out of or relating to your use of, or inability to use, the Service — even if advised of the possibility. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) CAD $100.

Québec. Nothing in these Terms excludes or limits liability for bodily or moral injury, for damage caused by an intentional or gross fault, or any other liability that cannot lawfully be excluded or limited (including under article 1474 of the Civil Code of Québec).

8. Indemnification

You agree to indemnify and hold harmless SecureGov.ca from any claim, damage, loss or cost (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party right — except to the extent caused by our intentional or gross fault.

9. Third-party services

The Service relies on: Microsoft for authentication and read-only data access; Stripe to process subscription payments; and Cloudflare for website hosting and content delivery. Your use of those services is governed by their own terms and privacy practices, and we are not responsible for them.

10. Intellectual property

The Service, its software, design and content are owned by SecureGov.ca and protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes only.

11. Fees

Where the Service is offered on a paid basis, applicable fees, billing cycle, and taxes will be presented to you before purchase, and payments are processed by our payment provider, Stripe. Subscriptions renew automatically for the same period unless cancelled. You may cancel at any time and keep access until the end of the period already paid; fees already paid are non-refundable except where the law provides otherwise. To cancel, email us at [email protected] — we will confirm in writing.

12. Suspension and termination

You may stop using the Service and revoke its access at any time. We may suspend, modify, or discontinue the Service (in whole or in part) at any time. Sections that by their nature should survive termination (including Sections 2, 6, 7, 8, 14) will survive.

13. Changes to these Terms

We may update these Terms from time to time. We will change the “last updated” date and, where required, provide notice. Your continued use of the Service after changes take effect constitutes acceptance.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Subject to any mandatory consumer-protection rules that may apply, the courts of the judicial district of Montréal, Québec, have exclusive jurisdiction.

15. Language

These Terms are provided in English and in French. The parties have requested that these Terms and all related documents be drawn up in English; a French version is made available at no charge.
